DRONE DELIVERY GROUP MEMBERSHIP TERMS AND CONDITIONS
1.1 There shall be three classes of members of the Drone Delivery Group, namely Subscribing Members, Committee Members and Board Members, who shall have the respective qualifications, rights and privileges herein after set out.
1.1.2 Subscribing Members - Any person and any body wherever constituted, formed or incorporated who or which has applied to the Drone Delivery Group for membership as a Subscribing Member, is accepted for free membership. A Subscribing Member may also be a Committee Member, but in such event shall retain all his qualifications, rights, and privileges as a Subscribing Member.
1.1.3 Committee Members - Any person serving in a Committee of the Group shall be a Committee Member during the period of such service.
1.1.4 Board Members - Any person serving on the Board of the Group shall be a Board Member during the period of such service.
1.2 The Board or Chair shall have the authority to reject any application for membership. Upon acceptance as a Subscribing Member, the name and address of that person or body shall be entered in the 'Register of Members'.
2.1 Provisions relating to the categories and any sub-categories of membership of the Group shall be contained in the Regulations issued at the time of joining and available here.
2.2 Members must satisfy the Group’s prescribed membership criteria, as contained in the Regulations and detailed on the Group’s website and website terms and conditions.
2.3 Members may upgrade their membership on satisfying the prescribed membership criteria for Committee or Board Membership.
3.1 All Subscriber Members shall receive notice of draft white papers and may exercise the right to comment on any paper published prior to it being released for public consultation.
3.2 All Members must comply with and shall promote the principles of the Code of Professional Conduct and supporting procedures and rules set out in the Regulations.
4.1 Membership rates shall be determined by the Board on the advice of the Chairman although the Subscribing Membership shall remain free. Any changes shall be notified to the earliest possible Board Meeting and individually to each Member affected.
4.2 In the event of a Committee Member disputing the amount of an annual subscription for any year, the matter may be referred to the Board which, after taking the views of both that Member and the Chairman, shall finally decide the amount of such annual subscription.
5.1 Every person who is a Subscribing Member or a Committee Member entered in the Register of Members shall be entitled to vote at any General Meeting of the Group and shall have full rights of membership. Members of the Board shall also have the rights to attend and vote at Board Meetings whether or not they are Subscribing Members or representatives of Subscribing Members.
6.1 A Member shall immediately cease to be a Subscribing Member of the Group if the subscription is terminated by either the Member or the Board.
6.2 A Committee Member shall cease to be a Committee Member:
a) if the Member's subscription is in arrears for more than three calendar months from the date on which the subscription became due, unless within that period a reference to the Board is being made;
b) if the Member by three months’ previous in writing resigns their membership;
c) if the Member, being a body corporate, has an effectual order made or resolution passed for its winding-up or shall enter into any liquidation (other than for the purpose of a bona fide reconstruction or amalgamation);
d) if the Member, being an individual, dies or being a firm or partnership, is dissolved or in any cases becomes bankrupt or compounds with their or its creditors or becomes incapable by reason of mental disorder, or is convicted by a competent tribunal of any offence which in the opinion of the Board renders them or it unfit to be a Member; or
e) if at a meeting of the Board of which the Member shall have twenty-one days’ notice in writing and at which the Member shall have been given an opportunity of being heard, at least two thirds of the number of Members of the Board present at that meeting vote in favour of a resolution that it is undesirable in the interests of the Group that the Member shall remain a Member of the Group.
7.1 All Intellectual Property which exists in the Materials provided to Members as part of the Member Services are owned by the Group and/or its content providers.
7.2 Membership does not confer any right to use the Group Intellectual Property, including the Group brand and logo, except where expressly authorised in writing.
7.3 The Member shall not:
a) licence, sell, rent, lease, transfer, assign or otherwise commercially exploit Materials, including but not limited to content or passwords provided to the Member by the Group; or
b) licence, sell, rent, lease, transfer, assign or otherwise commercially exploit or otherwise make the Member Services available to any third party.
In the event of Force Majeure, the Drone Delivery Group shall not be deemed to be in breach of these Terms and Conditions and in particular shall not be liable for a delay or for non-performance of any of its obligations under these Terms and Conditions or for any loss or damage occasioned thereby. To the maximum extent permitted by law, all losses arising for this reason shall not be recoverable by the Member.
These terms and conditions may be revised from time to time. If they are revised, we will post or email the revised version to all Members. It will be the Member's responsibility to keep up-to date with all such changes and continued membership shall be deemed acceptance of any changes to these terms and conditions.
Any notice to be given under these Terms and Conditions shall be in writing, which shall include electronic communication to the email address Members provide.
These Terms and Conditions shall be interpreted in accordance with the laws of England and Wales and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The following definitions apply in these Terms and Conditions:
'Board': the Board of the Group as from time to time constituted in accordance with the Regulations.
'Code of Professional Conduct': the Group’s set of rules which sets out the standards of professional behaviour to which a Member must adhere;
'Force Majeure': any event or occurrence which is outside the control of the party affected and which is not attributable to any act or failure to take preventive action by the party affected, but shall not include any industrial action occurring within the Group;
'General Meeting': a virtual or physical meeting of the Drone Delivery Group Members as prescribed in the Regulations;
'Group': the Drone Delivery Group Limited whose registered office is at Swift House Ground Floor, 18 Hoffmanns Way, Chelmsford, Essex, England, CM1 1GU | Reg No: 12441309
'Intellectual Property': copyright, database rights, rights in confidence, rights in passing-off, rights to domain names, registered and unregistered designs, trademarks, patents or other industrial or intellectual property together with any current or future applications for any registrable items of the foregoing;
'Materials': all materials including the written content, newsletters, conference materials, advertising, brochures, publicity material, invitations, website, branding, logos and other Group materials used by or for or relating to the Member Services;
'Member': any person, organisation or body which has been granted subscriber, committee or board membership of the Group.
'Member Services': the services provided by the Group for the benefit of Members subject to these Terms and Conditions;
'Register of Members': a digital record of contact details, professional details, membership level and history of notable activity within the Group.
'Regulations': the regulations passed by the Board as set out in full on the Group's website here.
